Work of the Board of Directors

An effective organization needs an effective board of directors, and an effective board needs members who understand their work. Although there are many lists of directors' responsibilities circulating, we believe board members can best understand their work as falling into three categories:

  • Policy Making - Mastering the rules, both external and internal, by which a nonprofit organization must be operated.
  • Oversight - Ensuring that the organization is following both the external and internal rules. Much of a board's routine work fall into this category.
  • Strategic Thinking - Staying on target with the organizational mission, responding to the community being served, building on organizational strengths, and organizational processes that regularly address these responsibilities.

This material can be effectively communicated to boards in sessions of one to three hours on each topic. The sessions can be a stand alone or as part of a day-long board retreat. This session is part of a three part series Meliora has developed for board training.
